Pursuant to Regulation 47 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 as amended, please find enclosed copies of the newspaper advertisement pertaining to 28th Annual General Meeting to be held on 21st September 2022 at 12.30 PM through Video Conferencing (VC) / Other Audio-Visual Means (OAVM). The advertisements were published in English and Hindi newspapers on 2nd September 2022. The said Postal Ballot Notice is also available on Company website viz. www. adconcap.com Pursuant to Section 91 of the Companies Act, 2013 and in compliance with Regulation 42 of SEBI LODR Regulations, 2015, members are hereby informed that the Register of Members & Share Transfer Books of the Company will remain close from 15th September 2022 to 21st September 2022 for the purpose of Annual General Meeting. The details of the same have been provided in the attachment. The AGM commenced at 12.30 PM and concluded at 1.15 PM. we are enclosing along with this letter, Scrutinizer Report for the E-Voting and Ballot; issued & certified by M/s. Kriti Daga, Practicing Company Secretaries, who was appointed as Scrutinizer for both e-voting and voting at AGM for transacting the businesses at the 28th Annual General Meeting of the Company held on 21st September 2022 at 12.30 PM. Pursuant to Section 108 of the Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration) Rules, 2014 and Regulation 44 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 as amended from time to time and in compliance with MCA Circular No. 02/2022 dated 5th May, 2022 read with Circular dated 5th May, 2020, 8th April, 2020 and 13th April, 2020, the Company has provided e-voting facility to the Members to enable them to cast their vote electronically on resolutions proposed in the Notice of 28th AGM held through Video Conferencing (VC)/Other Audio Visual Means (OAVM). The remote voting was commenced on 18th September 2022 at 9.00 AM and has been concluded on 20th September 2022 at 5.00 PM.
