AGM 21/09/2022 In Compliance with Regulation 34 of the SEBI (Listing Obligations & Disclosure Requirements) Regulation, 2015, we submit herewith 28th Annual Report of the company for the Financial Year 2021-22 along with Notice of the 28th Annual General Meeting scheduled on Wednesday, 21st day of September, 2022 at 11:.00 A.M through Video Conferencing ('VC') / Other Audio-Visual Means ('OAVM'). (As Per BSE Announcement Dated 29.08.2022) Summary of Proceedings of the 28th Annual General Meeting (AGM) held on Wednesday, 21st September, 2022 at 11.00 A.M through Video Conferencing ('VC') / Other Audio-Visual Means ('OAVM') With reference to the above subject citied, the 28th Annual General Meeting (AGM) of the Members of Vamshi Rubber Limited ('the Company') was held on Wednesday, 21st September, 2022 at 11.00 A.M (IST) through Video Conferencing ('VC') / Other Audio-Visual Means ('OAVM') and ended on 11:25 A.M. Mr. Mereddy Ramesh Reddy chaired the meeting and welcomed the members to the 28th Annual General Meeting of the Company. Pursuant to Section 103 of the Companies Act, 2013, the requisite quorum being present, the Chairman delivered his speech and informed that the Meeting is being held through Video Conferencing (VC) / Other Audio-Visual Means (OAVM) as per the provisions of the Companies Act, 2013 and circulars issued by the MCA and SEBI. The Meeting was concluded by Mr. P. Varun Kumar by vote of thanks. Pursuant to Regulation 44(3) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we write to inform you that the members of the Company have approved all the resolutions bearing item no. 1 to 4 contained in the Notice of 28th Annual General Meeting of the Company with requisite majority. The Company had appointed Mr. NVSS Suryanarayana Rao, Company Secretary in practice as the Scrutinizer for remote e-voting and venue e-voting at the AGM. The Scrutinizer has submitted his report on 21st September, 2022. In this connection we hereby enclose the consolidated results of the remote e-voting and venue e-voting at the Video conferencing (VC) and other Audio-Visual Means (OAVM) meeting in the format prescribed together with the Scrutinizer's Report. On the basis of the report received from the Scrutinizer, the Company has declared that the Resolutions set out in the notice of 28th AGM were passed with requisite majority in favour of the Resolutions.
